Acceptance of Terms
By accessing or using EcoMap AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
These terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
Service Description and Availability
EcoMap AI provides an AI-powered digital ecosystem mapping platform that helps organizations visualize, monitor, and optimize their digital infrastructure. Our services include automated discovery, real-time monitoring, and predictive analytics.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We do not guarantee that our services will be available at all times or without interruption.
User Accounts and Registration
To access certain features of our services, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must provide accurate, current, and complete information during registration and keep your account information updated. You are solely responsible for any loss or damage arising from your failure to comply with these requirements.
Acceptable Use Policy
You may use our services only for lawful purposes and in accordance with these terms. You agree not to use our services to transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
You shall not attempt to gain unauthorized access to our systems, interfere with the proper functioning of our services, or engage in any activity that could damage, disable, or impair our services.
Intellectual Property Rights
The EcoMap AI platform, including all content, features, and functionality, is owned by EcoMap AI and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive license to use our services.
You retain ownership of any data you upload to our platform, but you grant us a license to use, process, and analyze such data to provide our services and improve our platform.
Data Processing and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these terms by reference. We process your data in accordance with applicable data protection laws and our Privacy Policy.
You are responsible for ensuring that any data you provide to us complies with applicable laws and that you have the necessary rights and permissions to share such data with us.
Payment Terms and Billing
Paid services are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these terms or required by applicable law.
We reserve the right to change our pricing at any time, with at least 30 days' notice for existing customers. Price changes will not affect your current billing cycle.
Service Level Agreement
We strive to maintain high availability and performance standards for our services. Our current service level commitments are detailed in our Service Level Agreement, which is available upon request.
In the event of service disruptions, we will work diligently to restore service and may provide service credits as outlined in our SLA, which constitutes your sole remedy for such disruptions.
Limitation of Liability
To the maximum extent permitted by law, EcoMap AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or business interruption.
Our total liability to you for all claims arising from or relating to these terms or our services shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless EcoMap AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
This indemnification obligation includes reasonable attorneys' fees and costs, and will survive termination of these terms.
Termination and Suspension
Either party may terminate these terms at any time with or without cause. We may suspend or terminate your access to our services immediately if you violate these terms or engage in conduct that we determine is harmful to our services or other users.
Upon termination, your right to use our services will cease immediately, and we may delete your account and data in accordance with our data retention policies.
Dispute Resolution and Governing Law
These terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these terms or our services will be resolved through binding arbitration in Toronto, Ontario.
You agree to waive any right to a jury trial or to participate in a class action lawsuit regarding any disputes with EcoMap AI.
Export Controls and Compliance
Our services may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and not to export, re-export, or transfer our services to prohibited countries or persons.
You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country by applicable governments.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.
In such events, we will use reasonable efforts to minimize the impact and resume normal operations as soon as practicable.
Modifications to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date.
Your continued use of our services after any changes constitutes acceptance of the modified terms. If you do not agree to the changes, you must stop using our services.
